Welcome to the Protemplate website.

The following Terms and Conditions of Service apply to all services provided by Protemplate. These terms constitute an integral part of the agreement between Protemplate and the Client.

From here onwards, the terms ‘we,’ ‘us,’ ‘our’ will refer to Protemplate.

Please note that you agree to the terms and conditions detailed below by browsing our website or acquiring our services.

All services and materials produced and provided by Protemplate are done on your behalf and will become your property once the full payment of our invoice is made.

Protemplate retains the right to:

  • Use all work produced for the Client as part of its portfolio materials in its online and offline portfolios.
  • Add your firm to our client list.
  • Use any material or ideas prepared or submitted to you that you choose not to produce or for which you have not paid our invoices within 30 days of submission to you.

The Client and Protemplate both represent full power and authority to enter into this agreement. This agreement is binding upon the Client and Protemplate, and enforceable as per its terms.

The Client will appoint a single representative with full authority to provide the necessary information required by Protemplate and approvals.

The Client will be required to proofread and approve all elements of the final designs. Approval must be provided before production commences and artwork is released. If required, corrections will be identified on proofs submitted for Protemplate to revise and resubmit for the Client’s approval.

Protemplate provides a written estimate mentioning the charges for the services required by the Client. When a client signs the written agreement, it will automatically mean acceptance of all of our terms and conditions without exceptions.

All Clients of Protemplate are required to pay in advance following the total quotation at the time of agreement.

Charges for any additional services/revisions requested during the project over and above the estimated time or out of scope will need to be paid in full (100% of the quoted amount) at the time of initial quote or quotation acceptance.

  • The Client will be provided with an Approval Form or Proof Email and an Invoice before final publication.
  • All invoice queries must be submitted by email within 14 days of the invoice date.
  • Payments may be made by online transfer, credit card (Visa, Mastercard), or Debit Card.

We will supply PDF files and all other proofs as appropriate for printing or graphic files as described in the job scope or request.

Protemplate has the right to disregard any and all refund requests. Moreover, no refunds will be entertained once the final payments are made.

Once a project completes, or upon completion of a part of it as per the scope, the Client will pay Protemplate for the work completed to date, along with all expenses incurred on the project. Any advance fees will be credited against the amount due.

In the event of termination, Protemplate will retain all copyright even if the fee agreed to in advance has included the assignment of the copyright.

Any artwork, images, text supplied and/or designed by Protemplate on behalf of the Client will remain the property of Potemplate and/or its suppliers unless stated prior to an agreement or agreed upon in written form.

A license for the use of the copyrighted material is granted to the Client solely for the project defined in the scope or request and not for any other purpose.

The Client may request the necessary permission to use materials (for which Protemplate holds the copyright) in forms other than originally supplied. Protemplate may, at its discretion, grant this and charge for the additional usage.

Such permission must be obtained in writing before any artwork, as mentioned earlier, images, text, or other data is used.

Any design, copywriting, drawing, idea, or code created by Protemplate, or any of its contractors, is licensed for use by the Client on a one-time-only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of Protemplate.

Protemplate is not responsible for any loss, consequential loss, non-delivery of products or services of whatever cause. The Client agrees not to hold Protemplate Design responsible for any such loss or damage.

Any claim against Protemplate Design shall be limited to the relevant fee(s) paid by the Client.

Proemplate makes no warranties of any kind, express or implied, for any and all services that it supplies. Protemplate will not be held responsible for any and all damages resulting from products and/or services it supplies.

Protemplate reserves the right to use the services of sub-contractors, agents, and suppliers, and any work, content, services, and usage is bound by their Terms and Conditions. Protemplate will not knowingly perform any actions to contravene these, and the Client also agrees to be so bound.

These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. Protemplate reserves the right to change any rates and the Terms and Conditions at any time and without prior notice. Therefore, you must check this page from time to time.

The placement of an order for design and/or any other services offered by Protemplate, by email, verbally, or in writing, is deemed to be the acceptance of these terms and conditions.
